CarDex Terms of Use

These Terms of Use (the “Terms”) are a legally binding agreement between you and CarDex Tech LLC (“CarDex Tech,” “we,” “us,” or “our”) governing your use of the CarDex mobile application, the CarDex website, and related features, content, and services (collectively, the “Services”).

By downloading, installing, accessing, creating an account for, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Your use may also be subject to terms imposed by the app marketplace, device manufacturer, network provider, or sign-in provider you use. Those third-party terms continue to apply.

1. Eligibility

You must be at least 13 years old to use the Services. If you have not reached the age of legal majority where you live, you may use the Services only with permission and supervision from a parent or legal guardian who agrees to these Terms. You may not use the Services if applicable law prohibits you from doing so.

2. The Services

CarDex lets users photograph cars, receive automated identification and informational results, save car cards and related photos, organize a digital garage, track spotting progress, use map and challenge features, and, where available, share cards or participate in social features. Features may differ by device, operating system, region, account type, subscription status, or app version.

3. Accounts

Some features require an account. CarDex may support guest or anonymous accounts and sign-in through third-party providers such as Apple or Google. You are responsible for safeguarding your device and sign-in credentials and for activity performed through your account. You agree to provide accurate information and not impersonate another person.

Notify us promptly at contact@trycardex.com if you believe your account has been accessed without authorization. You may request account deletion through the App where available or by contacting us. Deleting an account does not automatically cancel a subscription.

4. License to Use CarDex

Subject to these Terms and applicable marketplace rules, CarDex Tech grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the App on devices you own or control for personal, non-commercial purposes. Any family-sharing, legacy-account, or volume-purchase rights provided by Apple or Google remain subject to that platform’s rules.

You may not, except where applicable law expressly permits it:

• copy, sell, rent, lease, sublicense, distribute, or commercially exploit the Services;
• reverse engineer, decompile, disassemble, or attempt to derive source code;
• modify, translate, or create derivative works from the Services;
• bypass access, subscription, scan, security, integrity, or usage controls; or
• remove copyright, trademark, or other proprietary notices.

All rights not expressly granted to you are reserved by CarDex Tech and its licensors.

5. Automated Results and Vehicle Information

CarDex uses automated systems, which may include artificial intelligence, to analyze photos and generate information. Results may be inaccurate, incomplete, outdated, or based on uncertain visual details. Similar cars, modifications, image quality, camera angle, lighting, regional variants, and incomplete market data can affect results.

Identifications, model years, trims, specifications, production figures, rarity scores, horsepower, market notes, and value ranges are provided for entertainment and general informational purposes only. They are not professional appraisals, vehicle-history reports, authenticity opinions, safety inspections, mechanical advice, insurance valuations, investment advice, or guarantees of market price. Independently verify important information before buying, selling, insuring, repairing, or relying on a vehicle or result.

6. Safe and Lawful Use

You agree that you will:

• not photograph, scan, or interact with CarDex while operating a vehicle;
• obey traffic, parking, property, photography, and privacy laws;
• not trespass or enter unsafe or restricted areas to photograph a car;
• respect vehicle owners, bystanders, and requests not to photograph;
• avoid uploading sensitive personal information or images you lack permission to use; and
• use location and map information cautiously and not as emergency or navigation guidance.

Any image processing intended to reduce exposure of license plates or other details may fail. You remain responsible for reviewing content before saving or sharing it.

7. Your Content

“Your Content” includes photos, profile information, display names, corrections, feedback, car cards, and other material you submit, save, create, or share through the Services. As between you and CarDex Tech, you retain ownership of Your Content.

You grant CarDex Tech a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt for technical formatting, display, and transmit Your Content solely as reasonably necessary to operate, secure, improve, and provide the Services and the sharing choices you select. This license lasts while Your Content is stored with the Services and for a reasonable backup, security, or legal-retention period after deletion. Content already copied or reshared by others may remain outside our control.

You represent and warrant that:

• you own Your Content or have all rights and permissions needed to use and share it;
• Your Content does not infringe intellectual property, privacy, publicity, or other rights;
• Your Content is not unlawful, fraudulent, misleading, or harmful; and
• your submission and our permitted handling of it do not violate any agreement or law.

8. Public Sharing and Community Features

If you create a public share link, join a leaderboard, or use another public feature, information such as your display name, handle, profile photo, car card, car photo, collection statistics, or estimated garage value may become visible to other people. Do not make content public if you want it to remain private. Public links may be accessed or copied by anyone who receives them.

You may not upload, publish, share, or use the Services to promote or distribute content that:

• sexually exploits or endangers a child, or contains child sexual abuse material;
• is pornographic, sexually explicit, graphically violent, or unlawfully hateful;
• harasses, threatens, bullies, stalks, defames, or targets another person;
• promotes terrorism, violence, self-harm, criminal conduct, or dangerous activity;
• reveals private or sensitive information without permission;
• infringes copyright, trademark, publicity, privacy, or other rights;
• contains malware, spam, scams, deceptive content, or unauthorized advertising; or
• otherwise violates law, these Terms, or applicable marketplace policies.

We may review reports, moderate or remove content, restrict sharing, rename a public profile, suspend accounts, preserve evidence, or notify authorities when reasonably necessary. Where reporting or blocking tools are available, use them to report objectionable content or users. You may also report a concern to contact@trycardex.com.

9. Prohibited Conduct

You may not:

• use the Services for an unlawful, abusive, deceptive, or fraudulent purpose;
• interfere with, disrupt, overload, or damage the Services or another user’s experience;
• access another person’s account, data, private garage, or nonpublic content without permission;
• scrape, crawl, index, harvest, or use automated means to access the Services without written permission;
• submit manipulated inputs to falsify results, rankings, scans, rewards, or entitlements;
• probe for vulnerabilities or evade authentication, App Check, rate limits, moderation, or security controls;
• collect or use other users’ information for spam, surveillance, harassment, or commercial solicitation;
• resell, monetize, or commercially exploit access to the Services or generated results; or
• encourage, assist, or enable anyone else to do any of the above.

10. Subscriptions, Trials, and Purchases

CarDex may offer free usage, paid subscriptions, trials, introductory offers, or other in-app purchases. The purchase screen presented by Apple App Store or Google Play will show the applicable price, billing period, included benefits, trial or introductory period, and renewal terms before you confirm a purchase. Store-displayed terms control the transaction if they conflict with a general description in these Terms.

Unless the purchase screen states otherwise, subscriptions automatically renew and the applicable marketplace charges your selected payment method at the beginning of each billing period until canceled. A free trial or introductory offer may convert to a paid subscription unless canceled before the deadline shown by the marketplace. Prices and available plans may change prospectively with any notice or consent required by law and marketplace rules.

Manage or cancel an iOS subscription through Apple subscription settings. Manage or cancel an Android subscription through Google Play subscriptions. Uninstalling the App, signing out, or deleting your CarDex account does not cancel a subscription. Cancellation generally takes effect at the end of the current paid period unless the marketplace or applicable law says otherwise.

Apple or Google processes marketplace payments and refund requests under its own terms and applicable law. CarDex Tech does not receive your complete payment-card details. Restored purchases and cross-device access may require the same marketplace account used for purchase.

11. Privacy

Our handling of personal information is described in the CarDex Privacy Policy, which is incorporated into these Terms by reference. Your use of third-party services is also subject to their privacy policies.

12. Third-Party Services

The Services may rely on or link to third-party products and services, including app marketplaces, authentication providers, cloud hosting, mapping, analytics, subscription management, and automated-analysis providers. We do not control third-party services and do not guarantee their availability, accuracy, security, or content. Your use of them is subject to their terms, and you must comply with applicable third-party agreements, including wireless-data and marketplace terms.

13. Intellectual Property

The Services—including software, designs, text, graphics, branding, databases, features, and CarDex Tech-created content—are owned by or licensed to CarDex Tech and protected by intellectual property laws. “CarDex,” its logos, and related branding may not be used without our written consent.

Vehicle manufacturer names, model names, logos, and other third-party marks belong to their respective owners. Their descriptive appearance in CarDex does not imply sponsorship, approval, or affiliation unless expressly stated.

14. Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Services, you grant CarDex Tech a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation, while we remain subject to our Privacy Policy for any personal information it contains.

15. Changes, Availability, and Updates

We may update, modify, suspend, limit, or discontinue any part of the Services. We do not promise that every feature will always be available or that the Services will be uninterrupted or error-free. Updates may be required for continued use, security, compatibility, or legal compliance. We are not responsible for losses caused by third-party outages or by your failure to install a required update, except where law provides otherwise.

16. Term and Termination

These Terms remain effective while you use the Services. You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, misuse the Services, or if providing the Services is no longer commercially or technically feasible. Where reasonable, we will provide notice, but we may act immediately to protect users, third parties, CarDex Tech, or the Services.

Upon termination, your license ends and you must stop using the Services. Provisions that by their nature should survive—including ownership, content licenses as limited above, disclaimers, liability limits, indemnity, dispute terms, and platform provisions—will survive.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. CARDEX TECH DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services or any result will be accurate, complete, reliable, current, secure, uninterrupted, or error-free. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you. Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDEX TECH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US $50) OR THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations do not apply where prohibited by law, including to liability that cannot lawfully be limited.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless CarDex Tech and its affiliates, officers, employees, and agents from claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use of the Services, Your Content, your violation of these Terms, or your infringement of another person’s rights. This section does not require you to indemnify a party for its own unlawful conduct.

20. Apple App Store Terms

This section applies when you obtain or use CarDex through Apple’s App Store. CarDex Tech operates the Services. The iOS application is currently distributed through TalkUp LLC’s Apple Developer account, and TalkUp LLC is the current “Application Provider” for purposes of Apple’s Standard EULA and App Store distribution. Apple’s Standard EULA governs your license to the iOS application, while these Terms govern the Services and your relationship with CarDex Tech. If the two conflict regarding the iOS application license, Apple’s Standard EULA controls.

These Terms are not an agreement between you and Apple. Apple has no obligation to provide maintenance or support for the Services. CarDex Tech is responsible for operating the Services, their content, support, product claims, legal compliance, and the investigation, defense, settlement, and discharge of intellectual-property claims relating to the Services, except for obligations assigned to the current Application Provider under Apple’s Standard EULA or App Store agreements.

Your App Store license is limited to use on Apple-branded products that you own or control as permitted by Apple’s usage rules, including any permitted Family Sharing, volume-purchase, or Legacy Contact access. If the App fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the App. To the maximum extent allowed by law, Apple has no other warranty obligation.

You represent that you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as supporting terrorism, and that you are not listed on a U.S. Government prohibited- or restricted-party list. Apple’s rights and role are governed by Apple’s Standard EULA and applicable App Store terms.

21. Google Play Terms

This section applies when you obtain or use CarDex through Google Play. These Terms are between you and CarDex Tech, not Google. Google is not responsible for the App, its content, maintenance, support, warranties, or claims relating to the App, except to the extent required by Google Play’s terms or applicable law. Your use of Google Play and Google Play Billing remains subject to Google’s applicable terms, policies, refund rules, and subscription-management processes.

22. Export and U.S. Government Use

You may not export, re-export, or use the Services except as authorized by United States law and the laws of the jurisdiction where you obtained them. You may not use the Services for purposes prohibited by U.S. law. The App and related documentation are “Commercial Items” consisting of commercial computer software and documentation, and U.S. Government end users receive only the rights granted to other users under these Terms.

23. Governing Law and Disputes

Except where mandatory consumer law provides otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute not eligible for small-claims court will be brought exclusively in the state or federal courts located in San Francisco County, California, and you and CarDex Tech consent to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If you are a consumer outside the United States, you may have mandatory rights under the laws of your usual residence, including rights to bring claims in local courts, that these Terms do not override.

24. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and update the “Last updated” date. If a change is material, we will provide additional notice or request renewed consent when required by law. Changes apply prospectively from their effective date. If you do not agree to revised Terms, you must stop using the Services.

25. General Terms

These Terms and the incorporated Privacy Policy are the entire agreement between you and CarDex Tech regarding the Services, subject to applicable marketplace terms. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. No agency, partnership, joint venture, or employment relationship is created by these Terms.
